1. Agreement to terms
These Terms and Conditions form a legally binding agreement between you, whether as an individual or on behalf of a business ("you"), and Forte Web Solutions Ltd, a company registered in England and Wales under company number 07896792, with its registered office at 15 Neptune Court, Vanguard Way, Cardiff CF24 5PJ ("we," "us" or "our"). They govern your access to our website and your purchase of our services.
2. Services and payment
We provide website design, build, hosting and related services under the plans described on our pricing pages. For our Pay Monthly and Smarter Series plans, fees are billed monthly in advance.
We are not currently registered for VAT, so no VAT is added to our prices. If we become VAT registered, VAT may be added to fees at the prevailing rate.
There is no setup fee on our Pay Monthly plan. Our other plans may carry a setup fee, which we will tell you about and agree with you in writing before any work begins. Custom integrations or pages beyond your plan's included scope may incur additional charges, again agreed in writing before work starts.
3. Late or failed payments
If two consecutive payments fail, we may suspend your website and hosting. We will reinstate them once all outstanding amounts have been paid in full. Suspension does not pause your subscription, your minimum term, or the fees that continue to fall due. If payments remain unpaid, we may terminate your subscription, and any sums owed under clause 4 will become due.
4. Minimum term and cancellation
Your subscription runs for an initial minimum term of 12 months from the start date. After the initial term, it continues on a rolling monthly basis until cancelled.
After the initial term, you may cancel by giving 30 days' written notice to [your notice email]. If you cancel before the end of the initial 12-month term, the monthly payments remaining for the rest of that term become payable in full. For example, if you cancel after 6 months, the remaining 6 monthly payments are due.
Fees already paid are non-refundable. Upon cancellation, your access to the website platform and hosting services will cease. Any payments due under this clause remain payable. You retain ownership of your domain name and any original content you provided to us.
5. Your rights if you are a consumer
If you are a consumer, meaning an individual buying for purposes outside your trade or business, you have a legal right to cancel within 14 days of entering into the contract under the Consumer Contracts Regulations 2013. If you ask us to begin work during this 14-day period, you may be required to pay for the work carried out up to the point you cancel. Nothing in these terms affects your statutory rights as a consumer.
6. Intellectual property: our website
Unless otherwise indicated, our website and all of its content, including source code, databases, software, designs, text, graphics, audio and video, together with our trademarks, service marks and logos, are owned by or licensed to us and are protected by copyright and trademark law.
7. Intellectual property: your website
The website we build for you, including its design, code, templates and the platform it runs on, remains our property. While your subscription is active and paid up, we grant you a licence to use it for your business. That licence ends when your subscription ends, which is why your site and hosting come offline on cancellation or suspension. You keep ownership of your domain name and any original content you provided to us.
8. Your responsibilities
You agree to provide the content and materials we need in good time so we can build your site. You confirm that you own or have the right to use any text, images, logos or other materials you give us, and that they are lawful and do not infringe anyone else's rights. You agree to indemnify us against any claim arising from the content or materials you supply.
9. Hosting and availability
We provide our services with reasonable skill and care. We do not guarantee that your website or hosting will be available without interruption, as downtime can happen for maintenance, updates or reasons outside our control. We will take reasonable steps to keep any planned downtime to a minimum.
10. No guarantee of results
Our Pay Monthly plans include basic onsite SEO, but we do not provide advanced or ongoing SEO services. We do not guarantee any particular search engine ranking, level of traffic, number of leads, or sales.
11. Limitation of liability
Nothing in these terms limits our liability for death or personal injury caused by our negligence, for fraud, or for anything else that cannot be limited by law. Subject to that, our total liability to you in connection with the services is limited to the total fees you have paid us in the 12 months before the claim arose. We are not liable for loss of profit, loss of business, loss of data, or any indirect or consequential loss.
12. Data protection
We handle personal data in line with UK data protection law, including the UK GDPR. Our Privacy Policy explains how we collect and use personal data. By using our services you agree to that policy.
13. Suspension and termination by us
We may suspend or end your subscription if you breach these terms, if you fail to pay, or if your website is used for unlawful, harmful or infringing content. Where the breach can be put right, we will normally give you the chance to do so first.
14. Acceptable use
You must not use your website or our services for anything unlawful, or to host content that is illegal, infringing, defamatory or harmful.
15. General
We may update these terms from time to time, and the version published on our website applies. If any part of these terms is found to be invalid, the rest still applies. You may not transfer your agreement with us to anyone else without our consent. These terms are the entire agreement between us regarding the services. Neither of us is liable for failures caused by events outside our reasonable control.
16. Governing law
These terms are governed by the law of England and Wales, and any disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
